Article 76.--LIMITED LIABILITY COMPANIES

      17-76,120.   Law governing. (a) Subject to the constitution of the state of Kansas:

      (1)   The laws of the state, territory, possession, or other jurisdiction or country under which a foreign limited liability company is organized to govern its organization and internal affairs and the liability of its members and managers; and

      (2)   A foreign limited liability company may not be denied registration by reason of any difference between those laws and the laws of the state of Kansas.

      (b)   A foreign limited liability company shall be subject to K.S.A. 17-7668, and amendments thereto.
