Article 21.--MISCELLANEOUS PROVISIONS

      40-2105.   Stock and membership records of stock or mutual life or stockfire or stock casualty companies; inspection.The officer who shall have charge of the stock or membership records ofany stock or mutual life, or any stock fire or stock casualty insurancecompany organized under the laws of this state, shall at any meeting ofstockholders or members have available the stock or membership records aswill show who are stockholders or members. Such records shall be availablefor inspection and examination only by designated company employees and bysuch committee as shall be appointed prior to or at said meeting by thepresident or presiding officer to determine the number of shares or memberspresent in person or by proxy and entitled to vote. Except as to membershiprecords and records pertaining to stock issued and outstanding and theholders thereof, every stockholder or member shall have the right toexamine in person or by agent or attorney, at any reasonable time for anyreasonable purpose, the bylaws, books of account and minutes of theproceedings of the stockholders or members and directors, and to makecopies of or extracts from them.
