56-1a102. Name.The name of each limited partnership as set forth in its certificate of limitedpartnership:
(a) Shall contain the words "Limited Partnership" or the abbreviation"L.P." or "LP";
(b) may not contain the name of a limited partner unless (1) it is alsothe name of a general partner or the corporate name of a corporate generalpartner or (2) the business of the limited partnership had been carriedon under that name before the admission of that limited partner;
(c) must be such as to distinguish it upon the records in the office ofthe secretary of state from the name of any corporation, limited liabilitycompany or limited partnership reserved, registered or organized under the lawsof the state of Kansas or qualified to do business or registered as a foreigncorporation or limited partnership in the state of Kansas. A limitedpartnership may register under any name which is not such as to distinguish itupon the records in the office of the secretary of state from the name of anydomestic or foreign corporation, limited liability company or limitedpartnership reserved, registered or organized under the laws of the state ofKansas with the consent of the other corporation, limited liability company orlimited partnership, which written consent shall be filed with the secretary ofstate; and
(d) may contain the following words: "Company," "Association," "Club,""Foundation," "Fund," "Institute," "Society," "Union," "Syndicate," "Limited,"or "Trust" or abbreviations of similar import.
