Article 8.--WINDING UP PARTNERSHIP BUSINESS

      56a-803.   Right to wind up partnershipbusiness.(a) After dissolution, a partner who has notwrongfully dissociated may participate in winding up thepartnership's business, but on application of any partner,partner's legal representative, or transferee, thedistrict court, for good cause shown, may order judicialsupervision of the winding up.

      (b)   The legal representative of the last survivingpartner may wind up a partnership's business.

      (c)   A person winding up a partnership's business maypreserve the partnership business or property as a going concernfor a reasonable time, prosecute and defend actions andproceedings, whether civil, criminal, or administrative, settle andclose the partnership's business, dispose of and transfer thepartnership's property, discharge the partnership's liabilities,distribute the assets of the partnership pursuant to K.S.A. 56a-807,settle disputes by mediation or arbitration, and perform othernecessary acts.
