Name may be reserved, how, time period.

347.025. 1. The exclusive right to the use of a name may be reservedby:

(1) Any person intending to organize a limited liability companyunder sections 347.010 to 347.187 and to adopt that name;

(2) Any domestic limited liability company intending to adopt thatname;

(3) Any foreign limited liability company registered in this stateintending to adopt that name or intending to register in this state and toadopt that name; or

(4) Any person intending to organize a foreign limited liabilitycompany and intending to have it registered in this state and to adopt thatname.

2. The reservation shall be made by filing with the secretary in aformat prescribed by the secretary, executed by the applicant, to reserve aspecified name. If the secretary finds that the name is not registeredwith the secretary as a corporation, limited liability company, limitedpartnership, limited liability partnership, or limited liability limitedpartnership, and is otherwise available for use, it shall reserve the namefor the exclusive use of the applicant for a period of sixty days from andafter the date the application is filed with the state. A name reservationshall not exceed a period of one hundred eighty days from the date of thefirst name reservation application. Upon the one hundred eighty-first daythe name shall cease reserve status and may not be placed back in suchstatus.
