Certificate of good standing.

351.076. 1. Anyone may apply to the secretary of state tofurnish a certificate of good standing for a domesticcorporation or a foreign corporation.

2. A certificate of good standing for a domesticcorporation sets forth:

(1) The domestic corporation's corporate name;

(2) When the corporation was incorporated;

(3) That the corporation was incorporated under the laws ofthis state;

(4) That the corporation has complied with all therequirements of the corporation division of the secretary ofstate.

3. A certificate of good standing for a foreign corporationsets forth:

(1) The name of the corporation as registered in its homestate;

(2) The name the foreign corporation uses in this state;

(3) The name of the state or jurisdiction it wasincorporated in;

(4) That the corporation has complied with all therequirements of the corporation division of the secretary ofstate.

4. Subject to any qualification stated in the certificate,a certificate of good standing issued by the secretary of statemay be relied upon as prima facie evidence that the domestic orforeign corporation is in existence or is authorized to transactbusiness in this state.
