Officer to make list of shareholders entitled to vote.

351.255. 1. The officer having charge of the transfer bookfor shares of a corporation shall make, at least ten days beforeeach meeting of the shareholders, a complete list of theshareholders entitled to vote at such meeting, arranged inalphabetical order with the address of and the number of sharesheld by each, which list, for a period of ten days prior to suchmeeting, shall be kept on file at the registered office of thecorporation and shall be subject to inspection by any shareholderat any time during usual business hours. Such list shall also beproduced and kept open at the time and place of the meeting andshall be subject to the inspection of any shareholder during thewhole time of the meeting. The original share ledger or transferbook, or a duplicate thereof kept in this state, shall be primafacie evidence as to who are the shareholders entitled to examinesuch list or share ledger or transfer book or to vote at anymeeting of shareholders.

2. Failure to comply with the requirements of this sectionshall not affect the validity of any action taken at suchmeeting.

3. An officer having charge of the transfer books who shallfail to prepare the list of shareholders, or keep the same onfile for a period of ten days, or produce and keep the same openfor inspection at the meeting, as provided in this section, shallbe liable to any shareholder suffering damage on account of suchfailure, to the extent of such damage.
