Corporate action may be taken without meeting by written consents.

351.273. Any action required by this chapter to be taken ata meeting of the shareholders of a corporation, or any actionwhich may be taken at a meeting of the shareholders, may be takenwithout a meeting if consents in writing, setting forth theaction so taken, shall be signed by all of the shareholdersentitled to vote with respect to the subject matter thereof.Such consents shall have the same force and effect as a unanimousvote of the shareholders at a meeting duly held, and may bestated as such in any certificate or document filed under thischapter. The secretary shall file such consents with the minutesof the meetings of the shareholders.
