Two or more directors shall constitute committee, when.

351.330. If the bylaws so provide, the board of directors,by resolution adopted by a majority of the whole board, maydesignate two or more directors to constitute a committee. Eachsuch committee, to the extent provided in the resolution or inthe bylaws of the corporation, shall have and exercise all of theauthority of the board of directors in the management of thecorporation; but the designation of such committee and thedelegation thereto of authority shall not operate to relieve theboard of directors, or any member thereof, of any responsibilityimposed upon it or him by this chapter.
