Board meetings, where and how held.

351.335. Unless otherwise provided in the articles ofincorporation or bylaws of the corporation, (1) meetings of theboard of directors or of any committee designated by the board ofdirectors may be held at any place either within or without thisstate, and (2) members of the board of directors or of anycommittee designated by the board of directors may participate ina meeting of the board or committee by means of conferencetelephone or similar communications equipment whereby all personsparticipating in the meeting can hear each other, andparticipation in a meeting in this manner shall constitutepresence in person at the meeting.
