351.435. The original copy of the articles of merger or articles ofconsolidation shall be delivered to the secretary of state by the survivingcorporation in the case of a merger or the new corporation in the case of aconsolidation. The articles shall be executed pursuant to section 351.430,filed pursuant to section 351.046 and effective pursuant to section351.048. If the secretary of state finds that the articles conform to thischapter, he shall, when all required taxes or fees have been paid, file thesame, keeping the original as a permanent record, and issue a certificateof merger or a certificate of consolidation, to which he shall affix thecopy of such articles.
