Application for certificate of authority.

351.576. 1. A foreign corporation may apply for acertificate of authority to transact business in this state bydelivering an application to the secretary of state for filing.The application must set forth:

(1) The name of the foreign corporation or, if its name isunavailable for use in this state, a corporate name thatsatisfies the requirements of section 351.584;

(2) The name of the state or country under whose law it isincorporated;

(3) Its date of incorporation and period of duration;

(4) The street address of its principal office;

(5) The address of its registered office in this state andthe name of its registered agent at that office;

(6) The names and usual business addresses of its currentdirectors and officers; and

(7) Such other information as the secretary of state shalldetermine is necessary to calculate any fees or taxes associatedwith the issuance of a certificate of authority under section351.572.

2. The foreign corporation shall deliver with the completedapplication a certificate of existence, or a document of similarimport, duly authenticated by the secretary of state or otherofficial having custody of corporate records in the state orcountry under whose law it is incorporated. Such corporationshall be required to pay into the state treasury a fee of onehundred fifty dollars for issuing the certificate of authorityto do business in this state.
