351.810. 1. A statutory close corporation need not adoptbylaws if provisions required by law to be contained in bylawsare contained in either the articles of incorporation or ashareholder agreement authorized by section 351.800.
2. If a corporation does not have bylaws when its statutoryclose corporation status terminates under section 351.835, thecorporation shall immediately adopt bylaws under section351.290.
