Procedure for organization of corporation.

354.035. A health services corporation may be organized in the mannerprovided for the organization of a general not-for-profit corporation inchapter 355, RSMo, by filing articles of incorporation in triplicate in theoffice of the secretary of state. One copy of the articles of incorporationshall be forwarded by the secretary of state to the director. If thesecretary of state finds that the purposes stated in the articles ofincorporation are within the purview of, and limited to the purposesauthorized by, section 354.025, and that such articles otherwise conform tolaw, he shall, when all fees and charges have been paid, file one of suchtriplicate originals in his office and issue a certificate of incorporation towhich he shall affix the other triplicate original. The certificate ofincorporation and copy of articles of incorporation shall be delivered by thesecretary of state to the incorporators.
