Issuance of certificate, effect of.
354.045. Upon the issuance of the certificate ofincorporation by the secretary of state, the corporate existenceshall begin, and such certificate of incorporation shall beconclusive evidence, except against the state, that allconditions precedent required to be performed by theincorporators have been complied with and that the corporationhas been incorporated under sections 354.010 to 354.380.
