Officers of authority, how selected--powers and duties, how fixed.

360.030. The member of the authority designated by thegovernor for the purpose shall call and convene the initialorganizational meeting of the authority and shall serve as itschairman pro tem. At the initial meeting and annuallythereafter, the authority shall elect one of its members aschairman and one as vice chairman. In addition, at the initialmeeting and annually thereafter, the authority shall appoint asecretary and a treasurer either of whom may be a member of theauthority and, if not a member of the authority, shall receivesuch compensation as shall be fixed from time to time by actionof the authority. The authority may appoint an executivedirector who shall not be a member of the authority and who shallserve at its pleasure. If an executive director is appointed, heshall receive such compensation as shall be fixed from time totime by action of the authority. The authority may designate thesecretary to act in lieu of the executive director. Thesecretary shall keep a record of the proceedings of the authorityand shall be the custodian of all books, documents, and papersfiled with the authority, the minute books or journal thereof,and its official seal. The secretary may cause copies to be madeof all minutes and other records and documents of the authorityand may give certificates under the official seal of theauthority to the effect that the copies are true and correctcopies, and all persons dealing with the authority may rely onsuch certificates. The authority, by resolution duly adopted,shall fix the powers and duties of its executive director as itmay from time to time deem proper and necessary.
