Bylaws, who may make, amend or repeal.

362.046. The power to make, alter, amend, or repeal thebylaws of the bank or trust company shall be vested in the boardof directors, unless and to the extent that this power isreserved to the stockholders by the bylaws or the articles ofincorporation. The bylaws may contain any provisions for theregulation and management of the affairs of the corporation notinconsistent with law or the articles of agreement.
