Amendment of articles of incorporation, procedure.

369.059. Subject to the approval of the director of thedivision of finance, every association may amend its articles ofincorporation upon the adoption of a resolution covering eachamendment by the affirmative votes of a majority of the membersof a mutual association or a majority of the stockholders of acapital stock association who are present in person or by proxyat any annual or special meeting of the members or stockholders.Each proposed amendment shall be filed with the director of thedivision of finance not less than thirty days prior to the dateof such meeting. If the director of the division of financefinds that the proposed amendment is in conformity with the law,the director shall approve the amendment not less than fifteendays prior to the members' meeting. The resolution orresolutions, certified by the president and secretary of theassociation under its corporate seal as one instrument, togetherwith a fee of five dollars payable to the director of revenue,shall be filed with the director of the division of finance inquadruplicate, who shall file three copies thereof with thesecretary of state and forward the fee to the director ofrevenue, whereupon the secretary of state shall issue induplicate and return to the association a certificate as to suchamendment or amendments.
