Section 389:4 Application for State Charter.

The converting national bank may apply for such certificate of incorporation by filing with the board of trust company incorporation an application signed under oath by its president and cashier and by a majority of its entire board of directors setting forth:
   I. The corporate action taken in compliance with the provisions of the laws of the United States governing the conversion of the national to a state bank.
   II. The articles of association or agreement, approved by the stockholders, for the government of the bank as a state bank.
