§54‑150. Referendum.
Upon demand of one third ofthe entire board of directors, any matter that has been approved or passed bythe board must be referred to the entire membership of the stockholders fordecision at the next special or regular meeting: Provided, however, that aspecial meeting may be called for the purpose.
