§ 54C‑21.  Amendments tocertificate of incorporation.

(a)        An amendment to thecertificate of incorporation of a State savings bank shall be made at anyannual or special meeting of the savings bank, held in accordance with G.S. 54C‑106and G.S. 54C‑107, by a majority of votes or shares cast by members orstockholders present in person or by proxy at the meeting. Any amendment shallbe certified by the appropriate corporate official, submitted to theCommissioner of Banks for approval or rejection, and if approved, thencertified by the Commissioner of Banks and recorded as provided in G.S. 54C‑14for certificates of incorporation.

(b)        Notwithstandingsubsection (a) of this section, a State savings bank may change its registeredoffice or its registered agent, or both, in accordance with G.S. 55D‑31.The savings bank shall file a copy of the statement or certificate certified bythe Secretary of State in the office of the Commissioner of Banks.
