§ 55A‑7‑01. Annual and regular meetings.

(a)        A corporationhaving members with the right to vote for directors shall hold a meeting ofsuch members annually.

(b)        A corporation withmembers may hold regular membership meetings at the times stated in or fixed inaccordance with the bylaws.

(c)        Annual and regularmembership meetings may be held in or out of this State at the place stated inor fixed in accordance with the bylaws.  If no place is stated in or fixed inaccordance with the bylaws, annual and regular meetings shall be held at thecorporation's principal office.

(d)        At annual andregular meetings, the members shall consider and act upon such matters as maybe raised consistent with the notice requirements of G.S. 55A‑7‑05and G.S. 55A‑7‑22(d).

(e)        The failure to holdan annual or regular meeting at a time stated in or fixed in accordance withthe corporation's bylaws does not affect the validity of any corporate action. (1955,c. 1230; 1993, c. 398, s. 1.)
