SECTION 7-1.2-809

   § 7-1.2-809  Place, notice, and form ofnotice of directors' and committee meetings. – (a) Meetings of the board of directors, or any committee designated by theboard, regular or special, may be held either within or without this state.

   (b) Regular meetings of the board of directors or anycommittee designated by the board may be held with or without notice asprescribed in the bylaws. Unless the articles of incorporation or the bylawsprovide for an alternative period, special meetings of the board of directorsor any committee designated by the board must be preceded by at least two (2)days' notice of the date, time, and place of the meeting. Attendance of adirector at a meeting constitutes a waiver of notice of the meeting, exceptwhere a director attends a meeting for the express purpose of objecting to thetransaction of any business because the meeting is not lawfully called orconvened. Neither the business to be transacted at, nor the purpose of, anyregular or special meeting of the board of directors or any committeedesignated by the board of directors need be specified in the notice or waiverof notice of the meeting unless required by the bylaws. Except as may beotherwise restricted by the articles of incorporation or bylaws, members of theboard of directors, or any committee designated by the board of directors, mayparticipate in a meeting of the board or committee by means of a conferencetelephone or similar communications equipment, by means of which all personsparticipating in the meeting can hear each other at the same time andparticipation by those means constitutes presence in person at a meeting.
