   § 7-1.2-810  Action by directors without ameeting. – Unless otherwise provided by the articles of incorporation or bylaws, anyaction required by this chapter to be taken at a meeting of the directors of acorporation, or any action which may be taken at a meeting of the directors orof a committee, may be taken without a meeting if all of the directors, or allof the members of the committee, as the case may be, consent thereto in writingor by electronic transmission, before or after the action, and the writing orwritings or electronic transmission or transmissions are filed with the minutesof proceedings of the board or committee. The consent has the same effect as aunanimous vote for all purposes, and that may be stated in any certificate orother document filed with the secretary of state.
