   § 7-1.2-812  Officers. – (a) The officers of a corporation consist of a president, a secretary, and atreasurer, and such other officers as are authorized by the bylaws or the boardof directors each of whom is elected by the board of directors or by theshareholders at a time and in a manner as prescribed by the bylaws. Any otherofficers and assistant officers and agents as that are necessary may be electedor appointed by the board of directors or by the shareholders or chosen inanother manner prescribed by the bylaws. Any two (2) or more offices may beheld by the same person. A failure to elect officers does not dissolve orotherwise affect the corporation.

   (b) All officers of the corporation, as between themselvesand the corporation, have the authority and perform any duties in themanagement of the corporation that may be provided in the bylaws, or that maybe determined by resolution of the board of directors, subject to anylimitations on the authority contained in the bylaws.
