§ 38.2-2510. Officers.
Unless the certificate or articles of incorporation provides otherwise, thedirectors shall elect from their number a president. The directors shall alsoelect a secretary, treasurer, and any additional officers they considernecessary, who may or may not be members. The offices of secretary andtreasurer may be held by one person. Unless otherwise provided in thecertificate or articles of incorporation, the term of those officers shall benot less than one year nor more than three years or until their successorsare elected or selected and qualified.
