Actions by and against companies.

375.251. 1. Civil actions may be maintained by any insurancecorporation formed under the laws of this state against any of its members orstockholders, for any cause relating to the business of the company.

2. Civil actions may also be prosecuted and maintained by any member orstockholder of the corporation against the corporation for loss which may haveaccrued in favor of any member or stockholder on any risk or policy, ifpayment is withheld for more than two months after the loss shall have becomedue; but no action shall be brought or maintained by any person other than thedirector of the department of insurance, financial institutions andprofessional registration of this state for the winding up or dissolution ofany insurance company, or the distribution of its assets among its creditors.
